1. Acceptance of Terms

By accessing or using Fluxboard AI ("the Service"), a product of Blixity, LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.

2. Description of Service

Fluxboard AI is an AI-powered workflow automation platform that enables users to generate, edit, transform, and publish content using artificial intelligence models. The Service includes but is not limited to:

  • AI-powered content generation (images, video, music, voice, text, and animation)
  • Visual node-based workflow builder
  • Flux Edit - integrated video editor
  • Story Mode - automated multi-step content production
  • Automation and scheduling features for content generation and publishing
  • Social media publishing and management
  • Approval workflows and team collaboration tools
  • Content library and asset management

3. Account Registration

To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must be at least 18 years of age or the age of majority in your jurisdiction to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement.

4. Subscription Plans and Payments

Fluxboard AI offers various subscription plans, including a free tier and paid plans (Starter, Pro, and Business). Paid plans are billed on a monthly or annual basis, as selected at the time of purchase.

  • Billing: Subscription fees are charged in advance on a recurring basis. You authorize us to charge your designated payment method for all applicable fees.
  • Credits: Each plan includes a monthly allocation of credits used for AI generations. Unused credits do not roll over to subsequent billing periods.
  • Upgrades and Downgrades: You may upgrade or downgrade your plan at any time. Upgrades take effect immediately; downgrades take effect at the start of the next billing period.
  • Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period, and you will retain access until that date.
  • Refunds: Subscription fees are generally non-refundable. Refund requests will be evaluated on a case-by-case basis at our discretion.

5. User Content and Intellectual Property

Your Content:You retain ownership of all content you create, upload, or generate using the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive license to process, store, and display your User Content solely for the purpose of providing and improving the Service.

AI-Generated Content: Content generated through AI models on the platform is subject to the respective AI provider's terms regarding ownership and usage rights. Generally, you may use AI-generated content for personal and commercial purposes, subject to applicable law and the terms of the underlying AI models.

Our Intellectual Property: The Service, including its design, features, code, branding, and documentation, is owned by Blixity, LLC and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

6. Acceptable Use

You agree not to use the Service to:

  • Generate, distribute, or store content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
  • Create deepfake content or content that impersonates real individuals without their consent
  • Infringe upon the intellectual property rights, privacy rights, or other rights of any third party
  • Distribute spam, malware, or engage in phishing or other fraudulent activities
  • Attempt to gain unauthorized access to the Service, other accounts, or computer systems
  • Use automated means (bots, scrapers) to access the Service beyond the provided APIs
  • Resell, sublicense, or redistribute the Service without our prior written consent
  • Circumvent or attempt to circumvent usage limits, credit allocations, or other restrictions

We reserve the right to suspend or terminate your account and remove any content that violates these Terms or is otherwise objectionable, at our sole discretion.

7. Third-Party AI Models and Services

The Service integrates with third-party AI models and services (including but not limited to OpenAI, Google, Anthropic, Runway, ElevenLabs, Suno, and others). Your use of AI-generated content is also subject to the terms and policies of these third-party providers. We are not responsible for the output, accuracy, or availability of third-party AI models.

We may add, remove, or modify the AI models available on the platform at any time without prior notice.

8. Social Media Publishing

The Service allows you to connect and publish content to third-party social media platforms. You are solely responsible for ensuring that content published through the Service complies with the terms and policies of each destination platform. We are not liable for any consequences arising from content you publish to third-party platforms.

9. Service Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.

Scheduled maintenance windows will be communicated in advance when possible. We are not liable for any loss or inconvenience caused by service interruptions.

10. Data Storage and Retention

Your generated content and assets are stored in accordance with the storage limits of your subscription plan. We reserve the right to delete content from accounts that have been inactive for more than 12 months or from accounts on expired free trials after 30 days of inactivity.

You are responsible for maintaining your own backups of important content. We provide export functionality to help you download your content and data.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLIXITY, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Blixity, LLC and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED CONTENT.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Termination

We may terminate or suspend your account at any time for violation of these Terms or for any other reason at our discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections regarding intellectual property, limitation of liability, indemnification, and governing law survive termination.
